EMBEDL SOFTWARE LICENCE

Version 2.0 | Effective 21st October 2026 | embedl.com/legal/software-licence/v2.0

Embedl AB, organised under the laws of Sweden with registration number 559160-9341, with a principal place of business at Gamla Almedalsvägen 21, 412 63 Gothenburg, Sweden ("Embedl", "we" or "us"), licenses the Software to you on these terms (this "Licence").

You accept this Licence when you click to accept it, or when you download, install, copy or use the Software. If you accept it for a company or other organisation, "you" means that organisation and you confirm that you may bind it. The Software is licensed, not sold.

Your attention is drawn in particular to section 4.0 (limitations, including the restriction on competing use), section 5.0 (reverse engineering), section 6.0 (patents) and section 11.0 (disclaimer and liability).

1. DEFINITIONS

1.1. "Affiliate": in relation to an entity, any entity that, for as long as ownership and control exist: (a) is owned and controlled by that entity; (b) is under common ownership and control with that entity; or (c) owns and controls that entity.

1.2. "Competing Service": a product or service offered to third parties whose primary purpose is to provide, as a general purpose offering: (a) model optimisation, compilation or quantisation; (b) model hosting, distribution or cataloguing; (c) model inference as a service, platform or application programming interface; or (d) a software development kit, toolkit or runtime for running artificial intelligence models. A software development kit or runtime that is specific to Your Product, including one supplied so that developers can build applications for your device, is not a Competing Service, and neither is an offering of a supplier of silicon, hardware or cloud infrastructure that is made available in connection with that supplier's own hardware or platform.

1.3. "Intellectual Property Rights": patents, utility models, rights in inventions, copyright and neighbouring and related rights, moral rights, trade marks and service marks, business names and domain names, rights in get-up and trade dress, goodwill, rights in designs, database rights, rights to use and protect confidential information including know-how and trade secrets, and all other intellectual property rights, in each case whether registered or unregistered, together with all applications and rights to apply for them, and all equivalent rights anywhere in the world.

1.4. "Marks": Embedl's names, marks, branding and logos, including Embedl, Embedl Hub and FlashHead.

1.5. "Model Weights": the parameters, configuration and tokenizer files of an artificial intelligence model, other than Optimisation Files.

1.6. "Optimisation Files": files that Embedl creates for, or adds to, an artificial intelligence model so that an Embedl optimisation can be used at run time, such as lookup tables, caches, clustering data, compiled kernels and configuration.

1.7. "Runtime Components": Embedl code that runs, loads or accelerates artificial intelligence models, such as inference engine plugins, kernels, runtime libraries and the runtime in Embedl container images, and Embedl agents that connect devices to Embedl services.

1.8. "Software": Embedl software and files that refer to this Licence, in source, compiled or any other form, including updates Embedl provides. It includes Runtime Components and Optimisation Files. A file that states a different licence is not Software.

1.9. "Third Party Components": software, models or data licensed by others and included in, or distributed with, the Software.

1.10. "Your Product": a product or service that you provide to your customers or use in your business, that adds material functionality beyond the Software, and whose primary purpose is not to provide the Software or a Competing Service. Examples are a vehicle, robot, camera or other device, and an application or system that runs artificial intelligence models using the Software.

2. LICENCE GRANT

2.1. Grant. Subject to this Licence, Embedl grants you a worldwide, non-exclusive, non-transferable, non-sublicensable, royalty-free copyright licence to: (a) download, install, copy and use the Software, including for commercial and production use; (b) modify those parts of the Software provided in source form, for bug fixes, configuration and integration with your systems, but not to port or extract Embedl functionality into other software, save to the extent section 5.0 permits; (c) combine the Software with other software; and (d) distribute the Software as part of Your Product under section 3.0.

2.2. Affiliates and Personnel. Your Affiliates may use the Software under this Licence as if they were you. You are responsible for compliance by your Affiliates, employees and contractors.

2.3. Updates. The Software may update automatically, and an update may be required for continued use. An update is Software and is licensed under this Licence unless different terms accompany it, in which case those terms apply to that update. Embedl is not obliged to make an update available except as separately agreed in writing.

2.4. Optimisation Files. You may obtain and use Optimisation Files only on the terms of this Licence, whether or not Intellectual Property Rights protect them.

2.5. Reservation. Embedl reserves all rights not expressly granted. You have no right or licence in the Software other than as set out in this Licence.

3. DISTRIBUTION INSIDE YOUR PRODUCT

3.1. Right to Distribute. You may distribute the Software, including modifications made under section 2.1(b), only as an integrated part of Your Product and with the notice in section 7.4. Your terms with recipients must not conflict with this Licence.

3.2. Downstream Licence. Embedl grants everyone who receives Your Product, directly or through others, a licence to use the Software as part of Your Product, and to distribute it further only as part of Your Product or of a product incorporating it. That licence is subject to section 4.0 and section 11.0 and includes the patent licence in section 6.0 for that use. You shall notify Embedl at legal@embedl.com before you first distribute Your Product incorporating the Software in series production or in more than 10,000 units, stating the Software versions and hardware targets used, and shall update that notice on Embedl's request no more than once a year.

4. LIMITATIONS

4.1. Restrictions. You shall not, and shall not permit another person to:

4.1.1 distribute the Software on its own, or as part of anything other than Your Product, including by uploading it to a public model hub, container registry, package index or code repository. A private repository, registry or mirror accessible only to you, your Affiliates and your contractors is permitted;

4.1.2 use the Software to provide a Competing Service, or include it in one;

4.1.3 give a third party access to the Software, or to model inference performed with it, as a service, for example through an application programming interface, a hosted endpoint or a managed platform. Your Product may be an online application, provided that its users obtain no direct access to the Software or to general purpose model inference, meaning model inference that is not limited to the function of Your Product;

4.1.4 use Optimisation Files other than with the Runtime Components they were made for, as provided by Embedl or as modified under section 2.1(b);

4.1.5 remove, disable or work around a licence key or other technical protection, or use a feature you have not licensed; or

4.1.6 remove or alter a licence, copyright or patent notice in the Software.

4.2. Forks. Forking a public Embedl repository within GitHub, as GitHub's terms permit, is not a breach of section 4.1, but it gives you no rights beyond this Licence.

5. REVERSE ENGINEERING

5.1. Restriction. You shall not reverse engineer, modify, decompile, disassemble or otherwise attempt to derive the source code, interfaces, techniques, processes, algorithms or know-how from the compiled or obfuscated parts of the Software, or work around a technical protection or limitation associated with the Software. This section does not apply to a Third Party Component whose licence requires otherwise.

5.2. Statutory Exception. Section 5.1 does not apply to the extent that: (a) the activity is permitted by directly applicable law notwithstanding that section; (b) it is indispensable to engage in the activity in order to obtain the information needed to achieve the interoperability of independently created software with the Software, or to correct an error; (c) the activity is confined to those parts of the Software necessary for that purpose; and (d) you have first requested the information from Embedl at legal@embedl.com, no less than five business days in advance, and Embedl has not made it available, for a fee or otherwise, on reasonable terms.

5.3. Use of Information Obtained. Information supplied to or obtained by you under section 5.2 may be used only for the purpose described in that section, shall not be disclosed to a third party, and shall not be used to create software that is substantially similar in its expression to the Software.

6. PATENTS

6.1. Grant. Embedl grants you a worldwide, non-exclusive, non-transferable, royalty-free licence under the patents and patent applications that Embedl can license and that the Software would infringe, to make, have made, use, sell, offer for sale, import and otherwise dispose of the Software and Your Product, solely as this Licence permits.

6.2. Scope. The licence in section 6.1 covers the Software as provided by Embedl, and as modified under section 2.1(b) to the extent the unmodified Software would infringe. It does not cover any other implementation of the methods the Software uses, including a method described in Embedl's publications or patents.

6.3. Defensive Termination. If you, or a person acting for you, bring a claim alleging that the Software infringes a patent, your licence under this section 6.0 ends. A counterclaim in proceedings that Embedl started does not count.

6.4. Patents Page. Embedl lists its patents, and the products they cover, at embedl.com/patents.

7. OWNERSHIP, TRADE SECRETS, MARKS AND NOTICES

7.1. Ownership. Embedl and its licensors retain all right, title and interest in the Software and all associated Intellectual Property Rights, and in all copies of it.

7.2. Trade Secrets. You acknowledge that the structure, sequence, organisation and code of the Software constitute valuable trade secrets and confidential information of Embedl and its licensors, that they derive independent economic value from not being generally known to, and not being readily ascertainable by proper means by, other persons who can obtain economic value from their disclosure or use, and that they are the subject of efforts that are reasonable in the circumstances to maintain their secrecy.

7.3. Marks. Any use of the Marks, whether permitted or otherwise, inures to Embedl's sole benefit. You shall not directly or indirectly: (a) file or prepare an application to register any of the Marks; (b) assert any right, title, licence or interest in the Marks; or (c) adopt, use, file for registration or register, in whole or in part, a trade mark, service mark, trade name, logo or domain name that is confusingly similar to, or an infringement of, the Marks or any Embedl domain name. You may state truthfully that Your Product includes Embedl software or that a model was optimised by Embedl.

7.4. Notices. You shall keep all licence, copyright and patent notices in the Software, and shall not suppress Embedl's proprietary notices, markings or branding. When you distribute Your Product, include this notice in its documentation or licence notices: "This product includes Embedl software licensed under the Embedl Software Licence. Copyright (c) Embedl AB. Pat.: embedl.com/patents."

8. LICENCE KEYS AND PAID FEATURES

8.1. Paid Features. Some features of the Software, such as certain hardware backends, require a licence key or a paid Embedl plan. This Licence does not license those features; a separate agreement with Embedl does.

8.2. Precedence. An agreement signed by you and Embedl, such as an order form or an enterprise agreement, prevails over this Licence where they conflict.

9. THIRD PARTY COMPONENTS AND MODEL WEIGHTS

9.1. Third Party Components. Third Party Components are licensed under their own terms, listed in the notices that accompany the Software, for example in the /licenses folder of a container image. Those terms prevail for the components they govern, and you shall comply with them.

9.2. Model Weights. Model Weights are not Software. Model Weights that Embedl distributes, including in optimised form, are licensed under the licence stated for them, which is ordinarily the licence of the model from which they were derived. Model Weights that you run with the Software remain subject to their own licences, which you shall comply with.

9.3. Upstream Pass-Through. Optimisation Files derived from a third party model are also subject to that model's licence and use policy, which you shall comply with. Where that licence so requires, its use restrictions form part of this Licence.

9.4. No Other Rights. This Licence grants no rights in Third Party Components or Model Weights.

10. TERMINATION

10.1. Automatic Termination and Reinstatement. If you breach paragraph 4.1.1, 4.1.2, 4.1.3, 4.1.4 or 4.1.5, your licences end automatically. If Embedl notifies you and you stop all breaching use within 30 days of the notice, they are reinstated retroactively. A further such breach after reinstatement ends them permanently.

10.2. Other Breach. For any other material breach, Embedl may end your licences by notice if you have not cured the breach within 30 days of being notified of it.

10.3. Effect. When your licences end, you shall stop using the Software and delete all copies. Copies of Your Product distributed in accordance with this Licence before then remain licensed to their recipients.

10.4. Survival. Section 4.0, section 5.3, section 7.0, section 9.0, section 10.3, section 11.0 and section 12.0 survive termination.

11. DISCLAIMER AND LIABILITY

11.1. Disclaimer. To the maximum extent permitted by applicable law, Embedl provides the Software on an "as is" basis, and ALL EXPRESS OR IMPLIED REPRESENTATIONS AND WARRANTIES, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TITLE OR NON-INFRINGEMENT, OR ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE OR TRADE PRACTICE, ARE HEREBY DISCLAIMED. Embedl does not warrant that the Software is error free, fits your purpose or achieves any particular accuracy or performance.

11.2. Safety-Critical Systems. The Software is not designed, tested or certified for a safety-critical system in which failure could cause injury, death or serious damage. If you use it in such a system, you are responsible for validating it and for any qualification or certification, unless Embedl has agreed otherwise in writing.

11.3. Excluded Damages and Cap. Embedl is not liable for indirect, punitive, special, incidental or consequential damages, or for interruption of business, loss of profits, revenue, use, data, production or anticipated savings, diminution in value, cost of cover or replacement, or other economic advantage. Embedl's total liability under this Licence will not exceed EUR 100.

11.4. Mandatory Liability. In this section 11.0, "gross negligence" (grov vårdslöshet) means a conscious and voluntary disregard of the need to use reasonable care that is likely to cause foreseeable grave injury or harm to persons or property. Nothing in this Licence excludes or limits liability for death or personal injury caused by negligence, for intentional wrongdoing (uppsåt) or gross negligence (grov vårdslöshet) as those concepts are understood under Swedish law, for fraud or fraudulent misrepresentation (svek), or for any other liability that cannot lawfully be excluded or limited. Nothing in this Licence limits the mandatory rights of a consumer.

11.5. Product Liability Recourse. Where Embedl is a micro or small enterprise within the meaning of Article 12(2) of Directive (EU) 2024/2853, Embedl's liability to the manufacturer of a product into which the Software has been integrated, in respect of a recourse claim under that Directive, is excluded to the maximum extent that Article permits. This section does not affect the rights of an injured person.

12. GENERAL

12.1. Online Services. Embedl online services used with the Software, including Embedl Hub and the Embedl container registry, are governed by the Embedl Terms of Service published at embedl.com/legal/terms/v2.0 and by the Embedl Privacy Policy. The Embedl runner agent connects your devices to Embedl Hub and runs jobs started there by you or your organisation. The Software is made available through the Embedl container registry, and access to it requires an Embedl account and authentication with your account credentials or an Embedl access token. You accept this Licence when you accept the Embedl Terms of Service on creating an Embedl account or at your next sign-in, and in any event by downloading, installing or using the Software. A person who receives Your Product under section 3.2 needs no Embedl account and no access to the registry, and accepts this Licence by using the Software as part of Your Product.

12.2. Trade Controls. You shall comply with all applicable trade laws and regulations, including Regulation (EU) 2021/821 as amended, the UK Export Control Act 2002 and Export Control Order 2008, the US Export Administration Regulations, and EU, UK and US trade and economic sanctions, including those administered by the US Office of Foreign Assets Control. You shall not export, re-export or transfer any part of the Software except in compliance with those laws.

12.3. US Government Users. The Software is commercial computer software. A US government user receives only the rights in this Licence (FAR 12.212, DFARS 227.7202).

12.4. Security. Report a vulnerability to security@embedl.com under the responsible disclosure policy at embedl.com/security.

12.5. Contributions. If you send Embedl a contribution, such as a code change, you license it to Embedl under the Apache License 2.0 unless otherwise agreed in writing.

12.6. Versions. Each version of this Licence is published at its own permanent address, and no published version is amended or replaced at the address at which it was published. Each release of the Software is governed by the version that accompanies it, and you may choose to apply a later version to that release. The current version and an index of earlier versions are published at embedl.com/legal.

12.7. Transfer. You may not transfer this Licence without Embedl's consent, except, on written notice to Embedl, to a person who acquires the business or product line in which you use the Software.

12.8. Severability. If a provision is held invalid, void or unenforceable, it will be amended or reformed to the minimum extent necessary to make it enforceable or, failing that, severed, and the remainder of this Licence continues in effect.

12.9. Governing Law and Disputes. This Licence, and any dispute related to or concerning it, including in tort as well as in contract and whether pre-contractual or extra-contractual, is governed by the substantive and procedural laws of Sweden, notwithstanding the choice of law rules of any jurisdiction to the contrary. The United Nations Convention on Contracts for the International Sale of Goods does not apply and is excluded. Any dispute arising out of or related to this Licence, including arbitrability, will be finally settled by arbitration administered by the SCC Arbitration Institute, seated in Stockholm, Sweden. The Rules for Expedited Arbitrations apply unless the SCC Arbitration Institute determines, having regard to the complexity of the case, the amount in dispute and other circumstances, that the Arbitration Rules should apply, in which case it will also decide whether the tribunal comprises one or three arbitrators. The arbitration will be conducted remotely or on written submissions unless a hearing is required, which will be held in Stockholm. The tribunal will apply the law identified in this section, and any award may be enforced by any court of competent jurisdiction. The existence and details of any dispute, the proceedings and all related documents, evidence and awards are confidential, and no party may make any public announcement about them except as required by law or to enforce an award. Claims may be brought only individually and not on a class, consolidated or representative basis. The tribunal has no power to vary this section. Where a dispute concerns both this Licence and the Embedl Terms of Service, it will be determined in a single arbitration under this section. Either party may seek injunctive relief, and may bring a claim concerning Intellectual Property Rights, in any court of competent jurisdiction. A consumer may bring proceedings in the courts of the country in which that consumer is habitually resident or in Sweden, and the mandatory law of that country is not displaced.
